These Terms & Conditions (“Terms”) govern your use of the TORP website and the purchase of products and services from Torp d.o.o.

Please read these Terms carefully before using our website or placing an order. By placing an order with us, you agree to be bound by these Terms.

Nothing in these Terms limits or excludes any rights that cannot legally be limited or excluded under applicable consumer protection law.

In these Terms, “TORP”, “we”, “us” and “our” refer to Torp d.o.o.

“You”, “customer” or “buyer” refers to the person or business using our website or purchasing our products.

2. Scope of These Terms

These Terms apply to:

  • use of the TORP website and online store;
  • purchases made directly from TORP;
  • orders placed by consumers and businesses;
  • international orders, unless different terms are expressly agreed in writing;
  • related software, applications and digital functionality supplied with TORP products where applicable.

Certain products or services may also be subject to additional terms, manuals, warranty conditions, safety notices or other documentation.

Where product-specific conditions apply, they form part of the agreement between TORP and the customer.

3. Eligibility to Purchase

By placing an order, you confirm that:

  • you are legally capable of entering into a binding contract;
  • the information you provide is complete and accurate;
  • you are authorised to use the selected payment method; and
  • you are purchasing the products for lawful purposes.

If you purchase on behalf of a company or other organisation, you confirm that you have authority to bind that organisation.

Customers must comply with any age restrictions applicable to the purchase, installation or use of a product in their country.

4. Product Information

We make reasonable efforts to ensure that product descriptions, photographs, specifications, compatibility information, pricing and other information displayed on our website are accurate.

However, minor variations may occur between website representations and the actual product, particularly as products, components, packaging, firmware and production processes are continuously improved.

Product photographs are illustrative unless expressly stated otherwise.

Technical specifications may be updated without prior notice where this does not materially reduce the functionality or performance reasonably expected from the purchased product.

If a material error is discovered in a product description, specification or price after an order has been placed, we will contact you before processing the affected order.

5. Product Compatibility

It is the customer's responsibility to select a product that is compatible with the intended vehicle, battery, motor, electrical system and other components.

Compatibility information provided by TORP is based on the configurations and product versions known to us at the time of publication.

Vehicle manufacturers may modify their products, wiring, firmware, connectors, batteries or other components without notice to TORP.

If you are unsure whether a TORP product is compatible with your vehicle or setup, please contact us before purchasing.

6. Orders and Contract Formation

After placing an order, you will normally receive an electronic order confirmation.

An automated confirmation that we have received your order does not necessarily mean that the order has been accepted.

We reserve the right to reject or cancel an order before shipment where reasonably necessary, including in cases of:

  • incorrect pricing or product information;
  • suspected fraud or payment irregularities;
  • product unavailability;
  • export, sanctions or legal restrictions;
  • incorrect customer information;
  • inability to deliver to the requested destination; or
  • an obvious technical or system error.

If payment has already been collected for an order that we cancel, the corresponding amount will be refunded.

7. Prices

Prices are displayed in the currency indicated on the website.

Applicable VAT, sales tax, shipping charges and other costs will be shown or calculated as required before the order is completed.

Prices may vary depending on:

  • delivery destination;
  • applicable VAT or sales tax;
  • currency;
  • promotional offers;
  • shipping method; and
  • import arrangements.

TORP may change its prices at any time. Changes do not affect orders that have already been accepted.

Obvious pricing errors are not binding. If a product has been listed at an obviously incorrect price, we may cancel the order and refund any amount paid.

8. Payments

Orders must be paid using one of the payment methods offered at checkout.

Payment may be processed by third-party payment service providers. Their own terms and privacy policies may apply to the processing of the payment.

You are responsible for any currency conversion charges, bank fees or similar charges imposed by your payment provider unless otherwise stated.

TORP does not guarantee that every payment method will be available in every country.

9. Promotions and Discount Codes

Promotional offers, coupons and discount codes may be subject to additional conditions.

Unless otherwise stated:

  • promotional codes cannot be exchanged for cash;
  • only one promotional code may be used per order;
  • promotional codes cannot normally be applied retroactively to completed orders;
  • promotions may be limited to particular products, countries or periods; and
  • TORP may cancel or amend a promotion in the event of an obvious error, fraud or misuse.

Mandatory consumer rights remain unaffected.

10. Shipping and Delivery

Available shipping methods, estimated delivery times and shipping costs are displayed during checkout where applicable.

Delivery times are estimates unless expressly agreed otherwise.

Delivery may be delayed due to circumstances outside our reasonable control, including customs procedures, transportation disruptions, weather, regulatory inspections or incorrect delivery information.

Customers are responsible for providing a complete and accurate delivery address.

If an order cannot be delivered because the customer supplied incorrect information, refused delivery, failed to collect the shipment or otherwise prevented delivery, additional shipping or return costs may be charged to the customer to the extent permitted by applicable law.

For consumers, risk of loss or damage generally passes when the customer, or a person designated by the customer, physically receives the goods, except where applicable law provides otherwise.

11. Customs, Import Duties and Taxes

TORP sells products internationally.

Depending on the destination country, an order may be subject to:

  • import duties;
  • customs fees;
  • local VAT or sales tax;
  • brokerage charges; or
  • other government charges.

Where an order or shipping option is expressly identified as duties paid, taxes included, DDP, or equivalent, the charges specified as included will be handled by TORP or its logistics provider.

In other cases, import duties, taxes and customs charges may be payable by the recipient.

The customer is responsible for complying with applicable import requirements in the destination country.

TORP is not responsible for customs delays or for a customer's failure to comply with lawful import requirements.

12. International Sales and Local Regulations

TORP is established in Croatia and operates internationally.

The availability of a product for purchase or shipment to a country does not necessarily mean that its installation or use is permitted for every purpose in that country.

Laws relating to electric motorcycles, vehicle modifications, power output, road homologation, registration, insurance and the use of performance components differ between jurisdictions.

The customer is responsible for determining whether the intended installation and use of a product complies with local laws and regulations.

Some TORP products may be intended primarily for off-road, competition, private-property or other specialised use depending on their configuration and the applicable local regulations.

13. Consumer Right of Withdrawal, European Union

If you are a consumer located in the European Union or another jurisdiction providing an equivalent mandatory right, you may have the right to withdraw from an online purchase without giving a reason.

For EU consumers, the statutory withdrawal period is generally 14 days from the date on which you, or a person designated by you, receives the goods.

To exercise the right of withdrawal, you must inform TORP of your decision through a clear statement before the withdrawal period expires.

After notifying us, the goods must be returned within the period required by applicable law.

Please contact us before shipping a return so that we can provide the appropriate return instructions and return address.

14. Condition of Returned Products

The right to inspect a product after delivery allows a consumer to handle the product only to the extent reasonably necessary to establish its nature, characteristics and functioning, similar to what would normally be permitted in a physical store.

If a returned product has been handled beyond what is reasonably necessary and its value has consequently been reduced, TORP may deduct the resulting diminished value from the refund where permitted by law.

Customers should return products with all supplied accessories, components and documentation wherever reasonably possible.

The statutory right of withdrawal is separate from returns relating to faulty or non-conforming products.

15. Return Shipping

Unless the product is defective, incorrectly supplied, or applicable law requires otherwise, the customer is responsible for the direct cost of returning goods following a voluntary withdrawal.

Products should be packaged appropriately to prevent damage during return transportation.

TORP is not responsible for damage caused by inadequate return packaging.

We recommend using a shipping method that provides tracking and adequate transport protection.

16. Refunds Following Withdrawal

Where a valid statutory withdrawal right has been exercised, TORP will refund payments as required by applicable law.

For EU consumers, this generally includes the purchase price and the cost of the least expensive standard delivery method offered for the original order.

Additional costs resulting from the customer's choice of an upgraded, premium or express delivery method do not have to be refunded where permitted by law.

Refunds will normally be made using the same payment method used for the original transaction unless otherwise agreed.

TORP may withhold reimbursement until the returned goods have been received or until the customer provides evidence that the goods have been sent back, where permitted by applicable law.

17. Exceptions to the Right of Withdrawal

The statutory withdrawal right may not apply to certain products or services where an exception is provided by applicable law.

Examples may include:

  • products made to the customer's specifications or clearly personalised;
  • sealed products that are not suitable for return for health or hygiene reasons once unsealed;
  • certain digital content where performance has begun with the customer's prior consent and acknowledgement of the loss of the withdrawal right; or
  • other goods or services excluded under applicable consumer legislation.

Any applicable exception will be interpreted in accordance with mandatory consumer law.

18. Business-to-Business Purchases

The statutory consumer withdrawal rights described above do not apply to purchases made for business or professional purposes unless applicable law expressly provides otherwise.

Returns of correctly supplied products purchased by business customers are accepted only where agreed by TORP.

Any agreed B2B return may be subject to reasonable shipping, handling or restocking charges disclosed as part of the return arrangement.

Nothing in this section affects rights that cannot legally be excluded.

19. Faulty or Non-Conforming Products

If you believe that a product is faulty, damaged or does not conform to the contract, please contact TORP as soon as reasonably possible.

We may request information reasonably necessary to identify and diagnose the issue, including:

  • proof of purchase;
  • product serial number;
  • photographs;
  • installation information;
  • diagnostic information;
  • video recordings; or
  • other information relevant to the reported problem.

This information helps us determine the cause of the issue and the appropriate remedy.

Any diagnostic procedure requested by TORP should be performed only where it can be carried out safely.

20. Statutory Consumer Guarantee

Consumers have statutory rights in relation to products that are defective or do not conform to the contract.

For consumers within the European Union, new goods are generally protected by a legal guarantee of conformity for at least two years from delivery, subject to applicable national law.

Depending on the circumstances and applicable law, remedies may include repair, replacement, price reduction or termination of the contract and refund.

These statutory rights exist independently from any commercial warranty offered by TORP.

Nothing in these Terms or in a TORP commercial warranty limits the customer's mandatory statutory rights.

21. Commercial Warranty

Certain TORP products may include a commercial manufacturer's warranty.

The applicable warranty period and warranty conditions are stated on the product page, accompanying documentation or TORP Warranty Policy.

A commercial warranty may contain conditions relating to correct installation, intended use, maintenance, environmental exposure, modification and other factors relevant to the product.

Damage caused by misuse, accidents, unauthorised modifications, incorrect installation, incorrect electrical connections or use outside specified operating limits may fall outside the commercial warranty where the damage was caused by those circumstances.

The commercial warranty is additional to, and does not replace or reduce, any statutory rights available to consumers.

22. Installation and Safe Use

TORP products may form part of high-power electrical and mechanical systems.

Incorrect installation, configuration or use may cause:

  • equipment damage;
  • loss of vehicle control;
  • electrical hazards;
  • fire;
  • serious injury; or
  • other dangerous conditions.

Products must therefore be installed, configured and used in accordance with:

  • the applicable TORP installation instructions;
  • user manuals;
  • technical specifications;
  • safety warnings; and
  • applicable laws and regulations.

Where specialised technical knowledge is required, installation should be carried out by a competent person.

Do not use a damaged product or a product displaying a safety-related warning or fault until the cause has been identified.

23. Vehicle Modifications and Performance Settings

TORP products may allow users to change power, torque, current, throttle, regenerative braking or other vehicle parameters.

Increasing vehicle performance may place additional stress on batteries, motors, drivetrains, brakes, tyres, suspension and other vehicle components.

The customer is responsible for ensuring that the complete vehicle and its components are suitable for the selected configuration and intended use.

TORP recommendations and software limits are not a substitute for appropriate mechanical condition, safe riding practices or compliance with applicable regulations.

24. Safety Recalls and Corrective Actions

Product safety is important to TORP.

If TORP determines that a product is affected by a safety issue, we may issue a safety notice, recall, replacement programme, firmware update or other corrective action.

Customers affected by a safety recall must follow the instructions provided in the relevant recall notice.

A product identified as unsafe or recalled must not continue to be used, sold or transferred contrary to the applicable recall instructions.

Where technically available and legally permitted, safety-related functionality may be restricted or disabled when reasonably necessary to implement a safety recall or prevent continued operation of an affected safety-critical product.

Recall-specific terms may apply and will be communicated to affected customers.

25. Software, Firmware and TORP App

Certain TORP products rely on or interact with firmware, mobile applications or other software.

TORP may provide updates for:

  • compatibility;
  • reliability;
  • performance;
  • cybersecurity;
  • diagnostics;
  • safety; or
  • new functionality.

Customers should install safety-related and critical updates within a reasonable period after they become available.

Software functionality may evolve over time as products and operating systems change.

Nothing in this section limits any mandatory rights relating to software, digital elements or required updates under applicable law.

Use of the TORP App may also be subject to separate application terms and the TORP Privacy Policy.

26. Intellectual Property

Unless otherwise stated, all intellectual property associated with TORP and its products remains the property of Torp d.o.o. or its licensors.

This includes, without limitation:

  • trademarks;
  • logos;
  • product names;
  • product designs;
  • photographs;
  • graphics;
  • website content;
  • software;
  • firmware;
  • documentation;
  • drawings; and
  • other proprietary materials.

Purchasing a TORP product does not transfer ownership of TORP intellectual property.

You may not reproduce, distribute, reverse engineer, commercially exploit or use protected TORP materials except where expressly authorised or where such restriction is prohibited by applicable law.

27. Website Use

You may use our website only for lawful purposes.

You must not:

  • interfere with the operation or security of the website;
  • attempt unauthorised access to systems or accounts;
  • introduce malicious software;
  • scrape or automatically extract content in a manner that materially disrupts the website;
  • impersonate another person;
  • use the website for fraudulent purposes; or
  • infringe the intellectual property rights of TORP or third parties.

We may restrict access to the website where reasonably necessary to protect our systems, users or legal interests.

28. Website Availability and Errors

We aim to keep our website available and accurate but cannot guarantee uninterrupted or error-free operation.

The website may occasionally be unavailable due to:

  • maintenance;
  • updates;
  • technical failures;
  • security measures;
  • infrastructure issues; or
  • circumstances beyond our reasonable control.

We may correct typographical, technical or pricing errors when discovered.

29. Third-Party Services and Links

Our website or products may contain links to or integrations with third-party websites, applications, payment providers, shipping providers or other services.

Unless expressly stated otherwise, TORP does not control those third-party services and is not responsible for their independent content, availability or practices.

Your use of a third-party service may be subject to that provider's own terms and privacy policy.

30. Privacy and Personal Data

TORP processes personal data in accordance with applicable data protection legislation, including the EU General Data Protection Regulation (GDPR) where applicable.

Information about how we collect, use, store and protect personal data is available in our Privacy Policy.

Information about cookies and similar technologies is provided in our Cookie Policy.

31. Export Controls and Restricted Transactions

TORP may refuse, suspend or cancel transactions where reasonably necessary to comply with:

  • trade sanctions;
  • export-control laws;
  • customs restrictions;
  • embargoes;
  • regulatory requirements; or
  • other applicable laws.

Customers may not knowingly purchase, export, re-export or transfer TORP products in violation of applicable laws or sanctions.

32. Limitation of Liability

Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by law.

In particular, nothing in these Terms is intended to exclude or restrict mandatory consumer rights or liability that cannot legally be excluded, including liability arising under applicable product liability legislation.

To the maximum extent permitted by law, TORP is not responsible for losses resulting from:

  • use of a product contrary to its instructions or specifications;
  • unauthorised modifications;
  • incorrect installation;
  • incompatible third-party components;
  • use outside the intended operating conditions;
  • failure to maintain the vehicle or associated components;
  • unlawful use of the product; or
  • circumstances outside TORP's reasonable control.

For customers acting in the course of a business, TORP will not be liable for indirect or consequential business losses, including loss of profit, revenue, business opportunity or production, except where such liability cannot legally be excluded.

For consumers, this section applies only to the extent permitted by mandatory applicable law.

33. Force Majeure

TORP will not be responsible for delays or failures caused by circumstances outside our reasonable control.

Such circumstances may include, without limitation:

  • natural disasters;
  • war or civil disturbance;
  • government restrictions;
  • strikes;
  • transportation disruptions;
  • shortages of materials or components;
  • customs delays;
  • power or telecommunications failures;
  • cyber incidents;
  • epidemics or pandemics; or
  • other comparable events.

We will take reasonable steps to reduce the impact of such events where possible.

34. Complaints

If you have a complaint regarding an order, product or service, please contact us first so that we can attempt to resolve the issue.

Consumers may also have access to an authorised alternative dispute resolution body or other consumer dispute resolution mechanism under applicable national or European legislation.

35. Governing Law

These Terms and contracts concluded with TORP are governed by the laws of the Republic of Croatia, subject to applicable rules concerning mandatory consumer protection.

If you are a consumer, this choice of law does not deprive you of mandatory protections granted to you by the law that would otherwise apply to your consumer contract.

36. Jurisdiction

For business customers, disputes arising from or relating to these Terms or a contract with TORP shall be subject to the jurisdiction of the competent courts in Rijeka, Croatia, unless otherwise agreed in writing or required by law.

For consumers, this provision does not restrict any right to bring or defend proceedings before a court that has jurisdiction under mandatory applicable law.

37. Changes to These Terms

We may update these Terms from time to time to reflect:

  • changes to our business;
  • changes to our products or services;
  • changes in applicable law;
  • technical developments; or
  • improvements to clarity or organisation.

The version applicable to a purchase is generally the version in effect when the order is placed, unless a change is required by mandatory law.

The current version will always display its latest revision date.

38. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions will continue to apply.

The affected provision will be interpreted or limited to the minimum extent necessary to make it valid and enforceable where legally possible.

39. No Waiver

If TORP does not immediately enforce a provision of these Terms, this does not mean that we waive the right to enforce that provision later.

40. Entire Agreement

These Terms, together with any applicable order confirmation, product-specific terms, Warranty Policy, Privacy Policy and other documents expressly incorporated into the contract, constitute the agreement between TORP and the customer regarding the relevant purchase.

Nothing in this provision excludes representations or rights that cannot legally be excluded.
